1. INTRODUCTION
These Terms and Conditions ("Terms") govern your use of the KiwiTxt services provided by Digital Agent Limited T/As KiwiTxt ("We", "Us", "Our", "KiwiTxt").
2. SERVICES
We provide a two-way SMS service platform that facilitates seamless SMS communication between marketing agencies and their clients. Our services are intended to be used for lawful purposes only.
3. USER OBLIGATIONS
As a user, you agree to use our services responsibly, to pay for services promptly, and to refrain from sending spam messaging. Any marketing messages sent must include opt-out language in accordance with local laws and regulations.
4. ACCOUNT REGISTRATION AND SECURITY
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
5. PRICING AND PAYMENT
Our pricing structure is as follows: a one-time payment of $247+GST for agencies providing our service to their clients, and $29+GST per month for users, including a 14 day free trial and $5 free credit. Please refer to our website for further details.
6. INTELLECTUAL PROPERTY
All contents of our services, including but not limited to the design, text, software, technical drawings, configurations, graphics, other files, and their selection and arrangement are: Copyright © Digital Agent Limited T/As KiwiTxt, or are the proprietary property of Digital Agent Limited's affiliates or licensors.
7. TERMINATION
Users may terminate their account at any time by logging into our dashboard. Upon termination, users will lose access to any data we've collected. We will not sell or share your data after termination.
8. LIMITATION OF LIABILITY
Our services are provided "as is." We disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
9. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by the laws of New Zealand, without regard to principles of conflict of laws.
10. AMENDMENTS
We reserve the right to modify these Terms and Conditions at any time. We will notify you of any changes by email.

13. MINIMUM AMOUNT IN ACCOUNT
When an agency or customer account have reached negative credit, KiwiTxt will be able to automatically deduct your preferred amount, to ensure your services can continue. A minimum amount of $5 is recommended to ensure your services will not be affected.
